Foley & Lardner LLP announced today that Kathleen Smalley and Phillip Hosp have joined the firm’s Los Angeles office. Smalley joins the Real Estate Practice as an of counsel and Hosp joins the Business Litigation & Dispute Resolution Practice as a partner.
Smalley and Hosp come to Foley from Locke Lord LLP. Smalley, formerly general counsel at Trammell Crow Company, Crow Holdings and Catellus Development Corporation, focuses her practice on real estate transactions and disputes. As a member of the Litigation Department, Hosp focuses his practice on litigation involving securities, real estate and corporate law claims.

After serving as a law clerk for U.S. Supreme Court Justice Sandra Day O’Connor, Smalley built a career in real estate finance and development while serving as general counsel for Trammell Crow Company, the country’s largest privately-held real estate company at the time. She went on to develop expertise in capital markets and corporate governance while cementing her perspective from the client side as general counsel to the family office of the Trammell Crow family, and Catellus Development Corporation, a publicly-held real estate developer. In 2004, then-governor Arnold Schwarzenegger appointed Smalley to the Board of Trustees of the California State Teachers Retirement System, the second largest public pension fund in the United States. Smalley has also held adjunct faculty appointments at Harvard, Yale, Stanford and UCLA Law Schools, and currently teaches at the UCLA Anderson School of Management.
Hosp represents a wide array of clients and has tried cases before judges and juries in federal and state courts. His clients include investment firms, public and private companies, family offices, officers and directors of public companies, municipalities, and elected officials in cases involving fiduciary duties, real estate interests, mergers and acquisitions, U.S. securities laws, and corporate law claims. A veteran of the U.S. Army, Hosp served as a captain in the 3rd Infantry Division and was twice deployed to Iraq, where he earned a Bronze Star for leadership in combat and tactical guidance during an IED attack.
Drawing upon their transactional and litigation experiences, Smalley and Hosp collaborate to create practical solutions for general counsels seeking compliance and governance advice with an eye toward preventing litigation.
