Genesis Acoustics stockholder files suit over conspiracy allegations

SAN FRANCISCO – A stockholder of a Fresno County company alleges he was injured by legal proceedings filed against him that were later dismissed.

Victor Manuel Villa Gonzalez filed a complaint on Nov. 20 in the Fresno County Superior Court against Genesis Acoustics Inc., Marion Austin, Lalynd White and Does 1 through 20 alleging breach of fiduciary duty, removal of director and conspiracy.

According to the complaint, the plaintiff is the holder of 50 percent of the outstanding shares of stock of Genesis. In August 2017, White and the plaintiff engaged in mediation to resolve White's claim for money from Genesis and it was unsuccessful. White then filed a complaint against Genesis and Gonzalez the same month over allegations of breach of contract, breach of fiduciary duty and other counts. Genesis filed a cross-complaint in October 2017 against White over allegations of conversion and other counts.

White's complaint was later voluntarily dismissed by White in November 2018.

The plaintiff alleges he has been damaged in an amount believed to be more than $473,000. He also alleges Austin and White acted willfully with the intent to cause him injury.

The plaintiff seeks judgment for damages, attorney's fees, costs, interest, punitive damages, costs of suit, and such other and further relief as the court deems proper. He is represented by Douglas V. Thornton of Thornton Law Group PC in Fresno.
