Greenberg Traurig Represents Sega Sammy Creation in GAN Limited Acquisition

Global law firm Greenberg Traurig, LLP represented Sega Sammy Creation Inc. in its acquisition of GAN Limited, a Nasdaq listed company that is a leading international B2B technology provider of internet gaming solutions and a B2C operator of internet sports betting.

Sega Sammy Creation is a gaming machine manufacturer and subsidiary of Sega Sammy Holdings, an international conglomerate operating entertainment, gaming, and resorts businesses.

Once the merger is complete, GAN’s issued ordinary shares will be converted into the right to receive $1.97 per share in cash, reflecting a 121% premium over the closing price of GAN’s ordinary shares on the last trading day before this acquisition was announced. GAN will become a wholly owned subsidiary of Sega Sammy Creation.

The Greenberg Traurig team representing Sega Sammy Creation was led by Koji Ishikawa, managing shareholder of the firm’s Tokyo office, and Jae Woo Park, Corporate shareholder in the firm’s New York and Northern Virginia offices, and included Erica L. Okerberg, Las Vegas shareholder and vice chair of Greenberg Traurig's Global Gaming Practice, and New York Corporate Associate Patrick Seo.
