A San Francisco resident has filed a lawsuit against two individuals and a corporation, alleging a complex web of financial misconduct and broken promises. Matthew Wang initiated the complaint in the Superior Court of California, County of San Francisco, on December 17, 2024, accusing Louis Lo and Robert Lo of numerous violations related to their business dealings with Wealthy Ocean Investment, Inc., doing business as Shabu House.
According to the court documents, Wang claims that he was introduced to Louis and Robert Lo in 2010 through a mutual business acquaintance. Initially involved in operating Kasumi Corporation at the premises located at 2608 Ocean Avenue in San Francisco, Wang eventually took over after his partners decided to discontinue operations. Subsequently, Louis and Robert proposed using the premises for a new venture—a Shabu-style restaurant—and entered into an agreement with Wang. In 2012, they formed a partnership for this new business under Wealthy Ocean Investment (WOI), agreeing to pay Wang $100,000 for allowing WOI to operate at the location.
However, tensions arose when WOI secured loans without Wang's consent or knowledge. In 2021, Louis and Robert allegedly obtained a $350,000 Economic Injury Disaster Loan (EIDL) without informing Wang. When confronted about this loan by Wang in December 2022, both defendants refused to provide any information regarding its use. Furthermore, despite initially agreeing to buy out Wang’s interest for $70,000 in January 2023—after failing to honor previous agreements—Louis and Robert reneged on this deal by March 2023.
Wang accuses the defendants of breaching both written and oral contracts by taking out unauthorized loans exceeding $150,000—a threshold agreed upon to protect his interests—and failing to compensate him as promised. The complaint details several grievances: outstanding bills left unpaid by WOI while vendors were misled about responsibility; mismanagement due to absenteeism from Louis and Robert; false promises regarding revenue; concealment of financial information; commingling funds for personal use; and concealing pending legal matters from Wang.
The plaintiff seeks various forms of relief from the court: general damages exceeding $35,000 according to proof presented during trial; economic damages also determined based on evidence provided; punitive damages intended as deterrence against fraudulent actions perpetrated by Louis and Robert Lo; legal interest accruing from filing date until judgment is rendered along with post-judgment
