OROVILLE – A Chico construction company alleges it entered into an agreement to merge with another company and that company excluded it from the business.
Green Construction Services Inc., doing business as IGreen, and David Green filed a complaint on Jan. 23 in the Butte Superior Court against Climate and Energy Solutions Inc., Jason Forrest Smith and Does 1 through 50 alleging breach of contract, fraud and other counts.
According to the complaint, in 2017, the plaintiffs entered into an agreement with defendants whereby Green was to merge his company with defendant Smith's company.
The plaintiffs claim they fully performed all of the significant things that the contract required them do, but the defendants allegedly stole their tools, equipment, systems and business model and excluded them from the business. The plaintiffs allege they have sustained damages of more than $500,000.
The plaintiffs seek judgment for compensatory and special damages of no less than $500,000, attorney's fees, and for such other relief as the court may deem just and proper.
