AI Netomi, Inc., a leader in the artificial intelligence industry, has filed a lawsuit against Transcom WorldWide AB for breach of contract and other allegations. The complaint was lodged by AI Netomi, Inc. on March 3, 2025, in the Superior Court of California, County of San Francisco, accusing Transcom WorldWide AB of wrongfully terminating their Strategic Partner Agreement and failing to fulfill payment obligations totaling $15 million.
The legal battle stems from an agreement entered into on October 24, 2023, between AI Netomi and Transcom. The partnership aimed to jointly market and sell AI Netomi's cutting-edge artificial intelligence services. However, on September 26, 2024, Transcom allegedly terminated the agreement citing false claims of contract breach and gross negligence. AI Netomi contends that this termination was a strategic move by Transcom to avoid its financial commitments under the contract. "Transcom sought to terminate the Agreement solely to avoid its payment obligations," asserts AI Netomi in its complaint.
AI Netomi is seeking damages exceeding $15 million due to what it describes as Transcom's arbitrary termination of the agreement after two years of benefiting from their relationship. Furthermore, AI Netomi accuses Transcom of continuing to use its intellectual property without authorization even after the purported termination. The plaintiff claims that this unauthorized use has caused substantial harm including loss of revenue and competitive disadvantage.
In addition to breach of contract and violation of intellectual property rights, AI Netomi also accuses Transcom of intentional interference with economic advantage. According to the complaint, Transcom intentionally disrupted AI Netomi's economic relationships by working with other service providers and sabotaging client engagements that were initially facilitated through AI Netomi's solutions. This conduct allegedly violated California law including unfair competition statutes.
AI Netomi is not only seeking compensatory damages but also punitive damages for what it describes as malicious conduct by Transcom. They are asking for a preliminary and permanent injunction against further use or misappropriation of their trade secrets and proprietary information by Transcom. Moreover, they seek disgorgement of profits obtained through unauthorized use along with other injunctive reliefs deemed appropriate by the court.
